1. Acceptance of Terms

By accessing or using OpenBell (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Not Investment Advice — No Fiduciary Relationship

OpenBell is a market information and analysis service. It is not a registered investment adviser, broker-dealer, financial planner, or any other licensed financial professional.

All content provided through the Service — including but not limited to market bias indicators, key levels, pivot points, overnight session analysis, economic calendar data, and Bottom Line summaries — is for informational and educational purposes only.

Nothing in the Service should be construed as:

• A recommendation or solicitation to buy or sell any financial instrument
• Investment, financial, legal, or tax advice
• A guarantee of profit or protection against loss
• The establishment of any fiduciary or professional relationship between OpenBell and you

You are solely responsible for your own investment decisions. Always consult a qualified financial professional before making any trading or investment decisions.

3. Risk Disclosure — Futures Trading

Trading futures contracts involves substantial risk of loss and is not appropriate for all investors. The high degree of leverage available in futures trading can work against you as well as for you. You may lose more than your initial investment.

Before trading futures, you should carefully consider your investment objectives, experience level, and risk tolerance. You should be aware that:

• Past performance is not indicative of future results
• Market analysis and bias indicators are probabilistic, not predictive
• No analytical tool eliminates the risk inherent in trading
• You can lose the full amount of your account and potentially more

4. No Guarantee of Accuracy or Completeness

Market data, analysis, and content provided through the Service are obtained from sources believed to be reliable, but OpenBell makes no warranty or guarantee as to the accuracy, completeness, timeliness, or fitness for any particular purpose of such information.

Data is sourced from third-party providers including Yahoo Finance and other public market data feeds. OpenBell is not responsible for errors, omissions, delays, or interruptions in data.

The Service may be unavailable during market hours, on weekends, or at any time due to technical issues, data outages, or scheduled maintenance. OpenBell does not guarantee continuous or uninterrupted access to the Service.

5. User Assumption of Risk

You expressly acknowledge and agree that:

• Your use of the Service is at your sole risk
• You are solely responsible for all trading decisions and their outcomes
• Any market analysis or bias signal from OpenBell does not constitute a trade recommendation
• OpenBell has no liability for any trading losses you incur, regardless of whether you relied on information from the Service

6. Subscription Terms

OpenBell Pro is a subscription service priced at $99 per month after a 7-day free trial period.

• Free trial: Your subscription begins with a 7-day free trial. You will not be charged during the trial period.
• Billing: After the trial, your payment method will be charged $99/month on a recurring monthly basis unless you cancel.
• Cancellation: You may cancel your subscription at any time through the Stripe customer portal. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing cycle.
• Price changes: OpenBell reserves the right to change subscription pricing with at least 30 days' notice to active subscribers.
• Payment processing: Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, OpenBell and its operators, affiliates, employees, agents, and licensors shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any trading or investment losses arising from your use of or reliance on the Service
• Any errors, inaccuracies, or omissions in market data or analysis
• Any unauthorized access to or alteration of your transmissions or data

In no event shall OpenBell's total liability to you for all claims exceed the amount paid by you to OpenBell in the twelve (12) months preceding the claim.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by OpenBell and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content in the Service without express written permission.

9. Data Usage & Privacy

By using the Service, you agree to the collection and use of information as described below:

• Account data: We collect your email address to create your account and deliver briefings.
• Usage data: We collect anonymized data about how you interact with the Service to improve functionality.
• Email delivery: We use your email address to send pre-market briefings and service notifications. You can unsubscribe from briefings at any time via the unsubscribe link in any email.
• Payment data: Payment information is processed and stored by Stripe. OpenBell does not store your full card details.
• No data selling: We do not sell, rent, or share your personal information with third parties for their marketing purposes.

10. Prohibited Uses

You agree not to use the Service to:

• Redistribute, resell, or sublicense briefing content to third parties
• Scrape or automated-harvest market analysis for commercial purposes
• Impersonate another person or entity
• Engage in any activity that disrupts or interferes with the Service

11. Modifications to Terms

OpenBell reserves the right to modify these Terms at any time. We will notify active subscribers of material changes by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration.

13. Termination

OpenBell reserves the right to terminate or suspend your account and access to the Service at its sole discretion, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.
